Terms of Service

These Terms of Service ("Terms") govern your access to and use of qlaud ("the Service") at qlaud.ai and through our APIs and SDK. By creating an account or using the Service, you agree to these Terms on behalf of yourself and any organization you represent.
1. The Service
qlaud is an LLM inference gateway and per-user billing layer for AI applications. The Service routes your prompts to upstream model providers (Anthropic, OpenAI, DeepSeek, Google, Groq, xAI, Mistral, Cloudflare Workers AI, ElevenLabs, Deepgram, and others), dispatches tool calls to webhooks and MCP servers you register, and meters and bills usage on a wallet model with a flat 7% gateway markup over each upstream provider's published price. We may add, remove, or modify features at any time.
2. Your account & API keys
You are responsible for keeping your master and per-user API keys confidential. You are responsible for all activity that occurs under your account, including usage by per-user keys you mint for your end-users and tool calls dispatched through credentials you (or your end-users) connected. Notify us promptly if you suspect unauthorized use; revoke compromised keys via the dashboard or DELETE /v1/keys/:id.
3. Acceptable use
You agree not to use the Service to:
- Violate any law or the rights of others.
- Send prompts whose intended output would violate the published usage policy of any upstream model provider you route through qlaud (e.g. Anthropic AUP, OpenAI usage policies). Upstream providers may suspend us if you do, which would interrupt service for everyone.
- Generate content that is illegal, infringes intellectual property, contains CSAM, or is intended for fraud, harassment, or non-consensual intimate imagery.
- Use the Service to attack or interfere with the integrity of qlaud, our upstream providers, or any other system; transmit malware; or mount denial-of-service.
- Mine cryptocurrency, resell raw inference capacity at a margin below ours, or otherwise use the Service in a way that is not its intended purpose.
- Circumvent rate limits, spend caps, authentication, or other technical restrictions; share your master key with parties outside your organization.
- Reverse-engineer the Service or attempt to access another customer's data, threads, keys, or tool credentials.
- Register an MCP server, webhook, or built-in integration whose destination you do not own or are not authorized to operate.
4. Plans, fees, and billing
qlaud is a usage-based service. You pre-fund a wallet via Stripe and your wallet is debited for each inference call at the upstream provider's published price plus a flat 7% gateway markup. Tool dispatches that hit external services (webhooks, MCP servers, third-party APIs) do not add a separate qlaud fee beyond the inference cost of the model turn that initiated them. We will give you at least 30 days' notice before changing the markup or introducing new fees. Unused wallet balance is non-refundable but does not expire.
5. Your data; your rights in it
You retain all right, title, and interest in the prompts, completions, thread history, and tool inputs/outputs you send to or generate through the Service ("Customer Data"). You grant us a limited, non-exclusive license to process Customer Data only to the extent necessary to provide the Service to you — forwarding it to the upstream provider you select, persisting it in our database when you use the Threads API, and dispatching it to tools you register. We do not train models on your prompts. We do not serve your prompts to other customers. Our handling of personal information is governed by our Privacy Policy.
6. Upstream providers
When you make an inference call, qlaud forwards your prompt to the upstream provider you selected. Their handling of your prompt is governed by their own terms and privacy policies; we recommend reviewing them. We are not liable for actions or outages of upstream providers, but we will route around outages where a fallback model is available and you have configured fallback preferences.
7. Intellectual property
The Service, including the software, APIs, dashboard, documentation, and trademarks, is owned by qlaud and is protected by law. Except for the limited rights we grant you in these Terms, we reserve all right, title, and interest in the Service. You may not copy, modify, reverse-engineer, or redistribute any part of the Service, and you may not use our name, logo, or branding in a way that suggests endorsement without our prior written permission.
8. Confidentiality
Each party agrees to keep the other's non-public information confidential and to use it only to exercise its rights or perform its obligations under these Terms. This obligation survives termination.
9. Service level
qlaud targets 99.9% monthly uptime of the request-serving API. Live availability is published at qlaud.ai/status. The Service is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose, and non-infringement. We make no warranty about model output quality, factual accuracy, or fitness for any specific downstream use.
10. Limitation of liability
To the maximum extent permitted by law, qlaud shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, or any loss of data, use, or goodwill. Our total aggregate liability to you for any claim arising out of or relating to these Terms or the Service is limited to the qlaud gateway fees (i.e. the 7% markup component, excluding pass-through upstream costs) you paid us in the 12 months preceding the event giving rise to the claim.
11. Indemnification
You agree to indemnify and hold qlaud harmless from any claim, loss, or demand arising out of (a) your breach of these Terms, (b) your or your end-users' misuse of the Service or any upstream provider routed through it, or (c) Customer Data you submit that infringes a third party's rights.
12. Suspension and termination
You may close your account at any time from the dashboard. We may suspend or terminate access to the Service for any user that materially breaches these Terms, has their wallet exhausted with negative reconciliation we cannot collect, creates a security or compliance risk, or causes us to be suspended by an upstream provider. Where practical we will provide prior notice and an opportunity to cure. Sections 5, 6, 7, 10, 11, and 13 survive termination.
13. Governing law
These Terms are governed by the laws of Finland, without regard to its conflict-of-laws rules. Any dispute will be resolved in the courts of Helsinki, Finland, and you consent to the personal jurisdiction of those courts.
14. Changes
We may update these Terms. Material changes will be announced by email and posted on this page with a new effective date at least 14 days before taking effect. Your continued use of the Service after the new date constitutes acceptance.
